TERMS AND CONDITIONS FOR THE PROVISION OF ELECTRONIC SERVICES – SAUNAGROW PROJECT
§1. General Provisions
These Terms and Conditions define the rules for the provision of electronic services by RoomAuction.com Ltd, with its registered office in the United Kingdom at 2 New Street, Ledbury, HR8 2DX, registered under company number 5195474, VAT GB 840 7458 20 (hereinafter referred to as the “Service Provider”).
These Terms and Conditions specify in particular:
a) the rules for concluding and terminating agreements,
b) the scope and conditions of providing mentoring services,
c) the complaint handling procedure,
d) the liability of the parties.
These Terms and Conditions constitute an integral part of the agreement concluded with the Client.
Acceptance of these Terms and Conditions is a prerequisite for using the Services.
§2. Definitions
Client – an entity acting as an entrepreneur using the Services
Services – paid mentoring, advisory, and educational services provided by the Service Provider
Mentor – a person cooperating with the Service Provider who performs the Services
Package – a monthly subscription including a specified number of service hours
One-off Consultation – a single Service purchased without a subscription commitment
Agreement – a service agreement concluded on the basis of these Terms and Conditions
§3. Scope of Services
The Services are advisory, consultative, and educational in nature.
The Service Provider does not guarantee the achievement of specific business results.
The Services may be provided:
a) online (via video conference),
b) on-site (in a sauna or outside it; sauna entry fees are borne separately by the Client).
The Service Provider has the right to entrust the performance of the Services to Mentors.
The availability of specific Mentors is not guaranteed.
§4. Conclusion of the Agreement
The Agreement is concluded by:
a) accepting these Terms and Conditions,
b) making a payment or signing an individual agreement.
The Agreement may take the form of:
a) a subscription (Package),
b) a one-off consultation.
§5. Service Booking
Use of the Services requires prior booking of an appointment.
Bookings are made via the booking system or by arrangement with the Service Provider.
Unused hours within a Package:
a) do not roll over to subsequent periods,
b) expire at the end of the billing period, which is:
- one month for subscription agreements,
- 6 months from the date of purchase for one-off packages.
§6. Payments
Remuneration is determined in accordance with the current price list.
For Packages:
a) payment is due within 7 days from the invoice date.
For One-off Consultations:
a) payment is required in advance.
Failure to make payment may result in:
a) suspension of Services,
b) cancellation of bookings.
§7. Rules of Service Delivery
For one-off hours, each commenced hour of Service is counted as a full hour.
For monthly packages, each commenced 15 minutes is counted as 1/4 of an hour.
Meetings take place:
a) online, or
b) in the Tri-City area (without additional logistical costs).
Meetings outside the Tri-City area:
a) require coverage of additional costs,
b) may be charged as +50% of time.
§8. Liability
The Services are of an advisory nature only.
The Client bears full responsibility for decisions made based on the Services.
The Service Provider shall not be liable for:
a) lost profits,
b) business decisions made by the Client.
The Service Provider’s liability is limited to twice the gross remuneration paid by the Client.
Liability applies only to damages caused by wilful misconduct.
§9. Duration and Termination of the Agreement
Subscription Agreements:
a) are concluded for an indefinite period,
b) may be terminated with a 2-month notice period effective at the end of a calendar month.
One-off Consultations (and non-renewable hour packages):
a) are not subject to termination,
b) are non-refundable after execution,
c) remain valid for 6 months from the date of purchase.
§10. Confidentiality
The parties agree to maintain confidentiality of information during the term of the Agreement and for 24 months after its termination.
Confidential information includes in particular:
a) business information,
b) financial information,
c) operational information.
§11. Non-Solicitation
The Client agrees not to establish cooperation with Mentors outside the Service Provider for the period:
a) during the Agreement,
b) 12 months after its termination.
§12. Complaints
The Client has the right to submit complaints.
Complaints should be submitted via email.
Complaint processing time: 14 days.
§13. Contractual Penalties
Violation of §10 shall result in a contractual penalty of GBP 10,000 for each breach.
Violation of §11 shall result in a contractual penalty of GBP 20,000 for each breach.
§14. Personal Data
Personal data is processed in accordance with applicable laws.
Details are specified in the Privacy Policy.
§15. Final Provisions
These Terms and Conditions are governed by UK law.
Disputes shall be resolved by the court having jurisdiction over the Service Provider.
The Service Provider reserves the right to amend these Terms and Conditions.
Changes shall become effective upon publication on the website.
